Terms of Service

These terms govern your use of Cerca ("we", "us"), including the Cerca API, the web console at app.cerca.dev, the sandbox runtime, and the marketing site at cerca.dev (collectively, the "Service").

By creating an account or using the Service you agree to these terms. If you are using Cerca on behalf of an organization, you represent that you have authority to bind that organization.

§1

Accounts

You must provide accurate information when creating an account and keep your credentials confidential. You are responsible for all activity that occurs under your account, including the actions of agents you configure.

Notify us immediately at security@cerca.dev if you suspect unauthorized access.

§2

Acceptable use

You agree not to use the Service to:

  • Violate any law or the rights of others.
  • Send spam, malware, or any content that is harmful, infringing, or deceptive.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service or the systems of other users.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by law.
  • Use the Service to generate output that violates the usage policies of our model providers (Anthropic, OpenAI, Google).
  • Build a competing service using the Service or its outputs.

You are responsible for the instructions you give your agents and for the downstream effects of the tools you grant them.

§3

Your content

You retain ownership of the prompts, code, memory entries, and other content you submit to the Service ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to provide the Service to you.

We do not use Your Content to train models. See the Privacy Policy for details on how we handle data.

§4

Third-party services

The Service lets you connect third-party services such as Gmail, Slack, and GitHub. Your use of those services is governed by their own terms. We are not responsible for the availability, accuracy, or content of third-party services, or for any changes they make to their APIs.

§5

Fees

Paid plans are billed in advance at the rates shown at sign-up. Usage-based charges (including LLM tokens and sandbox compute) are billed monthly in arrears. All fees are non-refundable except where required by law. We may change pricing with at least 30 days' notice to active customers.

§6

Service availability

We work hard to keep the Service available and fast, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time. For material changes to paid features we will provide reasonable advance notice.

§7

Termination

You can close your account at any time from the console. We may suspend or terminate your access if you breach these terms, if required by law, or to protect the Service or its users.

On termination, your right to use the Service ends immediately. We will delete your data in accordance with the retention policy in our Privacy Policy.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AGENT OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.

§9

Limitation of liability

To the maximum extent permitted by law, Cerca and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.

Indemnification

You agree to indemnify and hold Cerca harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these terms.

§11

Changes to these terms

We may update these terms from time to time. When we make material changes we will notify you via the Service or by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated terms.

§12

Governing law

These terms are governed by the laws of the State of California, excluding its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in San Francisco, California.
